Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Wish Keeper ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following the posting of changes constitutes your acceptance of such changes.

2. Service Description

Wish Keeper is a gift management and wishlist organization platform designed to help users track gift ideas, manage sizes and preferences, and coordinate gift-giving for friends and family. Features include:

  • Creating profiles for people you buy gifts for.
  • Tracking gift ideas, purchases, budgets, and status.
  • Sharing wishlists publicly or privately via secure tokens.
  • AI-powered gift suggestions (experimental feature).
  • Collaborative list management.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the approval of a parent or guardian. By using the Service, you represent and warrant that you have the full right, power, and authority to enter into this agreement.

4. Account Registration

4.1 Account Creation

To access most features, you must register for an account using a valid email address. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.

4.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, or for any other reason at our sole discretion, with or without notice.

5. User Content

5.1 Your Content

"User Content" means any text, graphics, images, photos, audio, video, or other materials you upload, post, or store on the Service. This includes profile photos, gift images, names, notes, and preferences. You retain full ownership of your User Content.

5.2 License Grant

By posting User Content, you grant Wish Keeper a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content solely for the purpose of operating, maintaining, and providing the Service to you.

5.3 Prohibited Content

You agree not to post User Content that:

  • Is illegal, threatening, defamatory, or harassing.
  • Infringes on the intellectual property rights of others.
  • Contains malware, viruses, or malicious code.
  • Exploits or harms children.

6. Sharing and Privacy

6.1 Public Sharing

The Service allows you to generate public links ("Share Tokens") for wishlists. Anyone with access to these links can view the content of the shared list. You are responsible for managing the visibility settings of sensitive information (such as sizes or birthdates) before sharing these links.

6.2 Collaborative Features

You may invite other users to view or edit your lists via email. You acknowledge that invited "Editor" users can modify content within that specific list.

7. Payments and Subscriptions

Some features of the Service may require a paid subscription ("Pro" or "Premium").

7.1 Pricing

Pricing for subscriptions is displayed at the time of purchase. We reserve the right to change pricing with reasonable notice to you.

7.2 Payment Processing

We use Stripe to handle all payment transactions. We do not store your full credit card information. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel.

7.3 Refunds and Cancellations

You may cancel your subscription at any time via the "Billing" section in Settings. Your subscription will remain active until the end of the current billing period. Refunds are handled on a case-by-case basis and are not guaranteed, except where required by law.

9. Intellectual Property

9.1 Our IP

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Wish Keeper and its licensors. The Service is protected by copyright, trademark, and other laws.

10. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to bypass or tamper with our security mechanisms (including Rate Limits or Row Level Security).
  • Scrape, spider, or crawl the Service using automated means.
  • Reverse engineer the Service.
  • Use the Service to spam or harass other users.

11. Termination

11.1 By You

You may stop using the Service at any time. You can delete your account and data through the application settings.

11.2 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Disclaimers and Limitations of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Wish Keeper makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, materials, or products included therein.

To the maximum extent permitted by law, Wish Keeper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (A) your access to or use of or inability to access or use the Service; (B) any conduct or content of any third party on the Service; or (C) unauthorized access, use, or alteration of your transmissions or content.

13. Indemnification

You agree to defend, indemnify, and hold harmless Wish Keeper and its licensees and licensors from and against any claims, actions, or demands, including reasonable legal and accounting fees, resulting from your breach of these Terms or your access to or use of the Service.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Delaware before one arbitrator.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between us regarding our Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will verify to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
